1. Acceptance of Terms

1.1 By accessing or using this Site, you acknowledge and agree to be bound by the following terms and conditions set forth below (collectively referred to as the “Terms of Use”). If you do not agree with these terms, please refrain from accessing or using the Site.

1.2 Suffix Library reserves the right to modify or add to these Terms of Use at any time. Your continued use of the Site after any modifications constitutes your acceptance of the updated terms. It is your responsibility to review the “Terms of Use” link on the suffixlibrary.co.za homepage to stay informed about the current terms. 

1.3 If you violate any of the Terms of Use, your right to access or use the Site will be automatically terminated.

2. Intellectual Property; Limited License to Users

2.1 By complying with these Terms of Use, any relevant license agreement with Suffix Library, and applicable laws, you are granted access to and use of the Site. It is important to note that Suffix Library retains sole ownership of all rights, titles, and interests in the Site, reserving all rights not explicitly granted in these Terms of Use. 

2.2 Suffix Library reserves the right to modify, replace, or discontinue the Site or any part thereof at any time, with or without notice, at its discretion.

2.3 All content available on this Site, including Images, Footage, Music, and associated metadata (referred to as “Suffix Library Content”), as well as the selection and arrangement of such content, is protected by intellectual property laws and treaties, including copyright, trademark, patent, and trade secret laws. Unauthorized use of any Suffix Library Content constitutes a violation of these laws and the Terms of Use. 

2.4 Unless expressly provided in these Terms of Use or a separate license agreement, Suffix Library does not grant any explicit or implied permission to use the Site or any Suffix Library Content. You agree not to copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works from, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense, or reverse engineer the Site or any Suffix Library Content. Furthermore, you agree not to employ data mining, robots, or similar methods to gather or extract data and/or images in connection with the Site or Suffix Library Content.

2.5 Unless you enter into a license agreement with Suffix Library, you are prohibited from downloading, distributing, displaying, and/or copying any Suffix Library Content. It is not permissible to remove any watermarks or copyright notices present in the Suffix Library Content.

3. Suffix Library Trademarks

3.1 For the purposes of these Terms of Use, the term “Trademark(s)” refers to all trademarks, logos, service marks, trade names, Internet domain names, or other indications of origin, whether registered or unregistered, currently used or to be used in the future by Suffix Library.

3.2 It is important to note that these Terms of Use do not grant you any rights to use any Suffix Library Trademark unless expressly conferred herein. You agree not to use Suffix Library’s Trademarks in any manner that could tarnish, disparage, or reflect negatively upon such Trademarks or Suffix Library.

3.3 You agree not to contest or challenge the validity of any of Suffix Library’s Trademarks or the Trademark rights claimed by Suffix Library, or to assist or encourage others in doing so, whether through legal action or otherwise.

3.4 You agree not to use any Suffix Library Trademark or any variation thereof (including misspellings) as a domain name or as part of a domain name, regardless of the top-level domain, or as a metatag, keyword, or any other type of programming code or data.

3.5 Without the prior written consent of Suffix Library, you may not adopt or use any word or mark that is similar to or likely to be confused with Suffix Library’s Trademarks.

3.6 The trade dress, trademark, or service mark of Suffix Library, including the overall visual appearance of the Suffix Library website, page headers, custom graphics, button icons, and scripts, may not be copied, imitated, or used, in whole or in part, without the prior written consent of Suffix Library.

3.7 All other trademarks, product names, and company names or logos appearing on the Suffix Library website are the property of their respective owners. Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not imply endorsement, sponsorship, or recommendation by Suffix Library unless expressly stated.

3.8 You may not use any Suffix Library trademark, logo, image, or other proprietary graphic to link to the Suffix Library website without the prior written consent of Suffix Library.

3.9 You may not frame or hotlink to the Suffix Library website or any Images without the prior written consent of Suffix Library.

4. Information You Provide

4.1 Suffix Library, or third parties acting on its behalf, may gather information pertaining to your usage of the Site. If you access the Site through third-party platforms, these platforms may collect information regarding your usage and share it with Suffix Library, subject to your agreement with the respective third-party platform. Suffix Library is committed to collecting and utilizing such information in compliance with these Terms of Use, the Suffix Library Privacy Policy, and applicable laws.

4.2 The protection and usage of your personal information, including your name and address, will be carried out by Suffix Library in accordance with the Suffix Library Privacy Statement, which is incorporated by reference into these Terms of Use.

5. Your Content

5.1 By uploading or posting any content (referred to as “Your Content”) such as images, footage, text, or audio to the Site, you affirm and guarantee the following: (i) you possess all necessary rights to submit Your Content and grant the licenses as described herein; (ii) Suffix Library is not required to obtain licenses or pay royalties to any third party in relation to Your Content; (iii) Your Content does not violate any rights of third parties, including intellectual property rights and privacy rights; and (iv) Your Content adheres to these Terms of Use and applicable laws.

5.2 Upon uploading Your Content, you provide Suffix Library with a limited, worldwide, non-exclusive, royalty-free license and permission to copy, transmit, distribute, publicly perform, publicly display (using all existing or future media), and create derivative works from Your Content. This license allows you to edit and display Your Content using the Site, as well as archive or preserve it for legal disputes, proceedings, or investigations. These licenses remain in effect until you remove Your Content from the Site, at which point they will terminate within a commercially reasonable timeframe. However, the license for legal archival and preservation purposes will continue indefinitely.

5.3 You are prohibited from uploading, posting, or transmitting any content, including videos, images, text, or audio recordings, that:

1. Infringes upon the copyrights, intellectual property rights, or right of publicity or privacy of any third party.

2. Contains pornographic, defamatory, or otherwise unlawful or immoral content.

3. Exploits minors.

4. Depicts unlawful or violent acts.

5. Depicts animal cruelty or violence towards animals.

6. Promotes fraudulent schemes or can be considered deceptive advertising or unfair competition.

7. Violates any law, statute, or regulation.

5.4 You must obtain a proper license to use any Suffix Library Content before utilizing it for any purpose. Your use of Suffix Library Content is subject to the applicable license agreement that you enter into with Suffix Library separately. Displaying and/or distributing watermarked or unlicensed Suffix Library Content, whether incorporated into a derivative work or used alone, constitutes a violation of copyright.

6. Infringement Claims / DMCA Notices

6.1 If you believe that any image or other material provided by Suffix Library infringes upon the copyright that you own or control, you may notify Suffix Library in accordance with the procedures outlined in our Copyright Infringement Notice Policy, as required by South African law.

7. Limitations

7.1 You agree to refrain from:

1. Engaging in any conduct that violates any laws or infringes upon the rights of Suffix Library or any third party.

2. Contravening any applicable laws or regulations regarding the access or use of the Site, or participating in any activity prohibited by these Terms of Use.

3. Infringing upon the rights of Suffix Library or any third party, including privacy and publicity rights, or engaging in abusive, defamatory, harassing, stalking, or threatening behavior towards others.

8. Restriction and Termination of Use

8.1 Suffix Library reserves the right to block, restrict, disable, suspend, or terminate your access to the Site and/or Suffix Library Content, either in part or in whole, at any time and at its discretion. This action may be taken without prior notice or liability to you. Any conduct on your part that Suffix Library deems, in its sole discretion, as limiting or preventing others from using or enjoying the Site is strictly prohibited. Such behavior may result in the termination of your access to the Site without any further notice.

9. Links to Third-Party Sites

9.1 If the site is accessible through a third-party platform or if Suffix Library includes links to third-party platforms, you acknowledge and agree that Suffix Library does not provide any warranty, whether express or implied, and assumes no responsibility for the content or practices of such third parties or their platforms. 

9.2 These platforms are beyond the control of Suffix Library, and any links provided are solely for your convenience. The inclusion of any link does not indicate any affiliation, endorsement, or adoption by Suffix Library.

10. Warranties and Disclaimers

10.1 Your use of the Site is at your own risk. Suffix Library provides the Site under these terms of use “as is,” without any warranty of any kind, whether express, implied, statutory, or otherwise. Suffix Library explicitly disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranties that may arise under any law. Suffix Library does not warrant that: (i) the Site will meet your requirements; (ii) access to the Site will be uninterrupted; (iii) the quality of the Site will meet your expectations; or (iv) any errors or defects in the site, services, or materials will be corrected.

10.2 Suffix Library does not guarantee that the Site will be available in your jurisdiction, that any content you submit will be accessible or stored by the Site, that the Site will fulfill your needs, or that Suffix Library will continue to support any specific feature of the Site. If any disclaimer or limitation of liability does not apply, all applicable warranties, whether express, implied, or statutory, will be limited to a period of thirty (30) days from the date of your first use of the Site, and no warranties shall apply after this period.

11.1 You agree to defend, indemnify and hold harmless Suffix Library, its subsidiaries, affiliates, licensors, employees, agents, third-party information providers, Submitters, and independent contractors against any claims, damages, costs, liabilities, and expenses (including, but not limited to reasonable attorneys’ fees) arising out of or related to your conduct, your use or inability to use Site, your breach or alleged breach of the Website Terms of Use or of any representation or warranty contained herein, your unauthorized use of the Suffix Library Content, or your violation of any rights of another.
